Licensing in semiconductors means **paying to use another company's intellectual property** (designs, patents, technology) in your own products. It enables companies to build chips without designing everything from scratch.
**Types of Semiconductor Licenses**
**IP Core Licensing**: License a pre-designed block (ARM processor, Synopsys USB PHY) for integration into your chip. Pay upfront license fee + per-unit royalty. **Patent Licensing**: Pay for the right to use patented technology. Often required by standards (e.g., Wi-Fi, 5G, H.264 patents). **EDA Tool Licensing**: Pay for design software (Synopsys, Cadence, Siemens tools). Annual subscriptions or perpetual licenses. **Technology Licensing**: License a manufacturing process from another company (e.g., Samsung licensing process technology to other fabs).
**License Fee Structures**
• **Upfront fee**: One-time payment for access to the IP ($100K to $10M+ depending on IP value)
• **Royalty**: Per-unit payment on each chip shipped (typically 1-5% of chip price)
• **Subscription**: Annual fee for access to IP portfolio or updates (common for EDA tools)
• **Flat royalty**: Fixed dollar amount per chip regardless of selling price

• **ARM**: Processor cores. Revenue ~$3B/year from licensing + royalties
• **Synopsys / Cadence**: Interface IP (USB, PCIe, DDR PHYs) and EDA tools
• **Qualcomm**: 5G/wireless patents. Collects royalties from every 5G phone sold
• **Dolby / MPEG LA / Via Licensing**: Multimedia codec patents (pooled licensing)
**Why License?**
Designing a high-speed SerDes from scratch costs **$20-50 million** and takes 2-3 years. Licensing costs **$1-5 million** and is available immediately. For most companies, licensing proven IP is far more economical than internal development.
